The Business Law Group is led by Gary L. James. The firm’s general business law practice ranges from assisting with the planning, organizing and financing of corporations, limited liability companies and partnerships. Our group is experienced in providing counsel related to sales, acquisitions or other dispositions of these businesses.
Our clients range from individuals and small or start-up businesses to large, private and publicly held corporations. The group concentrates a significant portion of its practice on a wide range of items affecting the funeral, cemetery and allied industries and professions.
As JSDC’s clients grow, they draw on our advice in employment law and compensation and employee benefits planning. Choosing the right structure of salary and equity compensation for employees can provide significant strategic and operational advantages. Several legal disciplines bear upon the areas of salary and equity compensation, including contract law, pension law and tax law.
Much of this business practice consists of transactional work on mergers and acquisitions, leveraged buy-outs, management buy-outs and the purchase and sale of business interests. Our goal in these transactions is to always provide cost-efficient, value-added service, regardless of the dollar size of the transaction. Our experience in these types of transactions enables us to provide long-term guidance to our start-up and growing clients so that they can avoid legal and business pitfalls that could limit their future marketability.
Within business law, the firm’s technology and emerging companies practice focuses on representing deal-intensive technology companies and the investment firms that support them. Our emphasis and the depth of the experience we have collected in this practice area enable us to contribute not just legal advice, but also structural and bottom-line practical business advice that is critical to the growth of our clients’ businesses. In organizing businesses, we advise clients as to the various structural choices applicable to their particular situations. We believe that no one form of organization is the right choice for every business situation and we work with our clients to select forms of businesses that suit their needs.
We welcome the opportunity to discuss your legal needs and evaluate how we may be of service to you.
